Terms & Conditions — Who Sits Where

1. Who we are

Who Sits Where is operated by Kefi LLC ("Kefi", "we", "us", "our"). By creating an account or using the service at whositswhere (the "Service"), you enter into a binding agreement with Kefi LLC.

2. Acceptance of terms

By accessing or continuing to use the Service you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. Individual users must be of legal age to enter into a contract in their jurisdiction.

3. The service

Who Sits Where helps event hosts build seating charts, collect RSVPs, and manage guest lists. Features available to you depend on the plan you select.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

use the Service for unlawful, fraudulent, or deceptive purposes;
send spam or unsolicited communications through the Service;
infringe the intellectual property, privacy, or other rights of anyone;
upload malware, probe, scan, or otherwise interfere with the security or integrity of the Service;
scrape, harvest, or bulk-extract content or data from the Service;
reverse engineer, resell, or circumvent technical or usage limits of the Service.

6. Intellectual property

Kefi LLC retains all right, title, and interest in and to the Service, including the software, documentation, branding, and all related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

7. Your content

You retain ownership of the guest, event, and seating data you submit. You grant Kefi LLC a limited license to host, process, and display that content solely to provide the Service to you.

8. Payments, billing, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms. Subscriptions renew automatically for the chosen billing interval until cancelled. See our Refund Policy for our refund window.

9. Service level and warranties

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, Kefi LLC's aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

11. Indemnity

You will indemnify and hold harmless Kefi LLC from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

13. Governing law

These Terms are governed by the laws of the State in which Kefi LLC is organized, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
